2.1. Scope: Serop Baghdadlian offers freelance services specializing in designing end-to-end machine learning solutions or consulting for specific use cases as agreed upon between the Client and the Company.

2.2. Consulting Services: The Company provides expert advice and guidance in the fields of machine learning, data analysis, model development, deployment strategies, and related areas.

2.3. Development Services: The Company offers end-to-end development of machine learning pipelines including but not limited to data preprocessing, feature engineering, model selection and training, hyperparameter tuning, validation, deployment, and ongoing maintenance.

3. Client Responsibilities

3.1. Cooperation: The Client agrees to cooperate with the Company and provide necessary information and access to data and resources required for the successful execution of the project.

3.2. Feedback: The Client agrees to provide timely feedback on deliverables and promptly communicate concerns or issues that arise during the project.

4. Fees and Payment Terms

4.1. Quotation: The fees for services will be provided to the Client in a formal quotation based on the project requirements.

4.2. Payment Schedule: Payment terms will be outlined in the quotation and may include milestone payments based on project progress.

4.3. Expenses: The Client is responsible for reimbursing the Company for any agreed-upon expenses incurred during the project, including but not limited to:

• Cloud computing costs for running the end-to-end pipeline.
• Costs associated with data acquisition or licensing.
• Training costs for machine learning models.

5. Intellectual Property

5.1. Ownership: All intellectual property rights, including but not limited to source code, algorithms, models, and project documentation developed by the Company during the project, shall remain the property of the Company unless otherwise agreed upon in writing.

6. Confidentiality

6.1. Non-disclosure: The Company agrees not to disclose any confidential information provided by the Client except as required by law or with the Client's prior written consent.

6.2. Data Privacy: The Company will handle Client data in accordance with applicable data protection laws and will take reasonable measures to ensure data security.

7. Termination

7.1. Termination by Either Party: Either party may terminate the agreement with written notice if the other party breaches any material term of the agreement and fails to remedy the breach within a reasonable time.

8. Limitation of Liability

8.1. Exclusion of Damages: In no event shall the Company be liable to the Client for any indirect, consequential, special, incidental, or punitive damages arising out of or related to the services provided.

9. Governing Law

9.1. Jurisdiction: These terms and conditions shall be governed by and construed in accordance with the laws of Berlin, Germany, and any disputes relating to these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.

10. Amendments

10.1. Changes to Terms: The Company reserves the right to modify these terms and conditions at any time. The Client will be notified of any changes and such changes will be effective immediately upon posting on the website.
